End User License Agreement
This End User License Agreement ("Agreement") is a binding contract between you ("you" or "User") and Boxtro (legal entity name — TBD) ("Boxtro", "we", "us", "our") for your use of the Boxtro Kitchen mobile application and any associated services (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you don't agree, please don't download, install, or use the App.
1. Acknowledgement
You and Boxtro acknowledge that this Agreement is concluded between you and Boxtro only, and not with Apple Inc. ("Apple"). Boxtro — not Apple — is solely responsible for the App and its content. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
2. Scope of license
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
You may not:
- Copy, modify, or create derivative works of the App;
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
- Rent, lease, lend, sell, redistribute, or sublicense the App;
- Remove or alter any proprietary notices;
- Use the App in any way that violates applicable law or the rights of others.
3. User content and family sharing
The App lets you create and share recipes, meal plans, photos, and related content ("User Content") with members of a private family group you join or create. You retain ownership of your User Content. By submitting User Content, you grant Boxtro a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and adapt that content for the sole purpose of operating and improving the App for you and the family members with whom you have shared it.
You're solely responsible for your User Content and represent that you have all necessary rights to share it. Don't submit content that is unlawful, infringing, abusive, or that contains another person's private information without their consent.
Any User Content you share within a family group will be visible to other members of that group. Boxtro isn't responsible for how other family members handle content you share with them.
4. Account and family codes
You can sign in using Sign in with Apple, an email-based one-time code, or other supported sign-in methods. You're responsible for safeguarding your account and any 8-character family invitation code we issue. Don't share family codes with anyone you don't intend to grant access to your shared library.
5. Maintenance and support
Boxtro — not Apple — is solely responsible for providing any maintenance and support services for the App, as may be required by applicable law. You can contact us for support at support@boxtro.com. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
6. Warranty
Boxtro is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed.
The App is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by applicable law, Boxtro disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Boxtro's sole responsibility.
7. Product claims
Boxtro, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to:
- Product liability claims;
- Any claim that the App fails to conform to any applicable legal or regulatory requirement; and
- Claims arising under consumer protection, privacy, or similar legislation.
This Agreement doesn't limit Boxtro's liability beyond what is permitted by applicable law.
8. Recipe information and no professional advice
Recipes, ingredients, nutritional notes, and any text recognized from photographs of paper recipes are provided for general informational purposes only. The App may use automated text recognition or machine-learning services to extract structured recipe data from images or pasted text, and the result may contain errors. You're responsible for verifying any recipe before relying on it, including for the presence of allergens or other ingredients that may affect your health or the health of others. The App doesn't provide medical, dietary, or nutritional advice.
9. Intellectual property rights
You and Boxtro acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Boxtro, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
The App, including its software, design, trademarks, and logos, is owned by Boxtro or its licensors and is protected by intellectual property laws. Except for the license granted above, this Agreement doesn't transfer any rights to you.
10. Legal compliance
You represent and warrant that:
- You're not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and
- You're not listed on any U.S. Government list of prohibited or restricted parties.
You'll comply with all applicable laws in your use of the App.
11. Third-party services and beneficiary
The App uses third-party cloud services to authenticate users, store and synchronize User Content, send notifications, and process recipe text. Your use of those services is also subject to the third party's applicable terms. You must comply with applicable third-party terms when using the App.
You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
12. Privacy
Our handling of your personal information is described in the Boxtro Kitchen Privacy Policy, which is incorporated into this Agreement by reference.
13. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. On termination, you must stop using the App and delete it from your devices. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute terms) will survive.
14. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Boxtro be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with this Agreement or your use of the App, even if advised of the possibility of such damages. Boxtro's total cumulative liability arising out of or related to this Agreement will not exceed the greater of (a) the amount you have paid Boxtro for the App in the twelve months before the claim, or (b) US$25. Some jurisdictions don't allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
15. Changes to this Agreement
We may update this Agreement from time to time. If we make material changes, we'll provide notice through the App or by other reasonable means before the changes take effect. Your continued use of the App after changes take effect means you accept the updated Agreement.
16. Governing law
This Agreement is governed by the laws of the State of (jurisdiction — TBD), without regard to its conflict-of-laws principles. Nothing in this section deprives you of any protections you're entitled to under the mandatory law of your country of residence.
